In plain English
- Your agreement is with Kaer Labs Ltd, a company registered in England and Wales.
- You may use Kaer only for things you have the right to do.
- Kaer agents act on your instructions — you are responsible for reviewing important plans, outputs, and actions.
- Kaer's servers and primary storage are in the EU (Germany and Finland); some AI model providers and other sub-processors process data outside the UK and EEA, including in China and the United States.
- From 22 October 2026, “Help improve our services” is on by default: Kaer uses how you use each area, plus your prompts, messages and coding actions, linked to your account with secrets removed, to fix problems, improve the Service and train its own models. Turn it off any time in Settings (AI or Tracking & Analytics); that stops collection and deletes the samples already kept. Private (incognito) chats are never collected.
- Kaer does not sell your personal data and never uses Customer Data to train third-party foundation models.
- If you use Kaer for business, our Data Processing Addendum applies automatically, on every plan.
- You own your Customer Data, and you own Output to the extent allowed by law and third-party model terms.
- Don't use Kaer for malware, phishing, CSAM, weapons, unauthorized access, IP infringement, or unattended high-impact decisions about other people.
- You can delete your account and export your data.
- Cancel a paid plan any time — prepaid unused time is refunded pro-rata unless a signed order says otherwise. Automatic top-up is off unless you turn it on and always uses limits you set.
Agreement & acceptance
These Terms of Service (“Terms”) are an agreement between you and Kaer Labs Ltd (“Kaer”, “we”, “us”), company no. 16674310, registered in England and Wales, registered office 167–169 Great Portland Street, Fifth Floor, London W1W 5PF.
They govern your access to and use of Kaer’s websites, apps, APIs, SDKs, agents, workflows, computer-use features, Mail AI, voice mode, paired-device features, PaerIDE/SuperWork, and related services (the “Service”).
By creating an account, using the Service, clicking to accept these Terms, or signing an order that references them, you agree to these Terms and to our Privacy Policy.
If you use Kaer on behalf of a company or other organisation, you represent that you have authority to bind that organisation, and “you” means both you and that organisation. You must be at least 16 years old to use the Service.
Definitions
| Term | Meaning |
|---|---|
| Service | Kaer’s websites, applications, APIs, SDKs, agents, workflows, automations, Mail AI, voice mode, maps/travel features, computer-use features, paired-device features, PaerIDE/SuperWork, and related services. |
| Customer Data | Content, prompts, files, instructions, messages, email, connector data, device data, tool outputs, screenshots, browser/test captures, API inputs, and other data you or your users submit to or generate through the Service. |
| Output | Text, code, files, plans, summaries, classifications, actions, tool results, or other material generated or returned by the Service. |
| Workspace | A Kaer project, team, account space, sandbox, paired-device work area, or other environment where Customer Data and agent work are organised. |
| Agent | An AI assistant, workflow, automation, or computer-use process that plans or acts based on your instructions and configured permissions. |
| Connector | An integration with a third-party account, API, mailbox, repository, workspace, communication tool, calendar, drive, local device, or other service. |
| Paired Device | A user-controlled device connected to Kaer so an Agent can, after a human consent gate, run approved tools on that device. |
Accounts & security
You are responsible for your account, credentials, sessions, API keys, connected accounts, and the users you invite. You must provide accurate account information and keep it current.
You must protect passwords, devices, session cookies, API keys, OAuth grants, connector credentials, and paired-device approvals, and promptly notify [email protected] if you suspect unauthorised access, credential compromise, or misuse. You are responsible for activity under your account unless it resulted from Kaer’s breach of these Terms.
The Service & autonomous agents
Kaer provides autonomous AI agents that can chat, summarise, draft, classify, search, use tools, operate cloud sandboxes, interact with connected services, run workflows, process mail, use maps/travel features, and — with approval — execute tools on a Paired Device. Agents act on your instructions and configured permissions. You are responsible for:
- the instructions you give;
- the systems, services, data, files, mailboxes, repositories, APIs, and devices you connect;
- reviewing agent plans, outputs, and actions before relying on them;
- configuring approval gates, scopes, and permissions appropriate to the risk; and
- ensuring you have the right to process Customer Data and authorise agent actions.
Paired-device execution requires a hard human consent gate: a single-use approval key that expires after five minutes, which the model cannot grant itself. Mail-class tools cannot route to a Paired Device. Kaer may impose feature, safety, rate, usage, approval, or verification limits where needed to protect the Service, users, third parties, or legal compliance.
Acceptable use
You may not use the Service, or allow others to use it, to:
- create, distribute, request, facilitate, or access child sexual abuse material or sexual content involving minors;
- develop or facilitate malware, ransomware, credential theft, botnets, phishing, spam, evasion, vulnerability exploitation, or unauthorised access;
- access, test, scrape, scan, exfiltrate from, or interfere with systems, accounts, data, or networks without authorisation;
- generate or facilitate weapons or physical, biological, chemical, radiological, or explosive harm;
- harass, threaten, abuse, dox, stalk, exploit, or harm others, or impersonate others or deceive people about whether they are interacting with AI where disclosure is required;
- violate intellectual-property, privacy, publicity, contractual, export-control, sanctions, or other rights or laws;
- process personal data, mailboxes, files, browser traffic, credentials, or confidential information without authority;
- use agents to make unattended decisions about employment, housing, credit, insurance, education, criminal justice, healthcare, legal rights, or similarly significant matters affecting other people;
- present Output as final legal, medical, financial, tax, or other regulated advice without qualified human review;
- conduct surveillance, facial recognition, or biometric identification in ways that violate law or reasonable privacy expectations;
- overload, disrupt, reverse engineer, bypass, or attack the Service or Kaer’s safety, security, billing, rate-limit, or access controls; or
- build, train, offer, or operate a product or service that competes with Kaer, or resell or provide the Service as a competing platform, using the Service, its Output, workflows, AI assistants, agents, APIs, or other features, without Kaer’s prior written permission.
Kaer may suspend or terminate access for violations of this section. Using the Service to build or operate a competing product or service is a material breach of these Terms, and Kaer may terminate the account immediately.
Customer Data, Output & IP
As between you and Kaer, you retain all rights in Customer Data. You grant Kaer a limited licence to host, copy, process, transmit, display, and use Customer Data as needed to provide, secure, support, and operate the Service (and to improve it only as described in section 10), comply with law, enforce these Terms, and as described in the Privacy Policy.
Subject to these Terms, applicable law, and any third-party model or service terms, Kaer assigns to you any rights Kaer has in Output generated for you. You are responsible for determining whether Output can be used, protected, published, licensed, or commercialised in your intended context.
You represent that you have all rights, permissions, and legal bases needed to submit Customer Data, connect services, use mailboxes, run agents, capture browser traffic, expose files or devices, and authorise processing by Kaer and its sub-processors. If you provide feedback or suggestions, you grant Kaer a perpetual, irrevocable, worldwide, royalty-free licence to use them.
AI output disclaimer
AI output may be incomplete, inaccurate, offensive, unsafe, duplicative, or unsuitable for your use case. Agents may misunderstand instructions, make incorrect assumptions, select the wrong tool, or take unintended actions if configured or approved to do so.
You must independently review and verify Output and agent actions before relying on them — especially for code, security, legal, medical, financial, tax, employment, travel, purchases, communications, or decisions affecting people. Kaer does not provide legal, medical, financial, tax, investment, or other professional advice, and Output is not a substitute for qualified professional judgement.
Third-party services & connectors
The Service can connect to third-party services such as Google, GitHub, Slack, Microsoft, Gmail, Outlook, Drive, Calendar, Sheets, Home Assistant, Telegram, Twilio SMS, Spotify, Todoist, Linear, Notion, Strava, Duffel, CoinGecko, Alpha Vantage, and map, search, payment, and model providers. When you connect or instruct Kaer to use a third-party service:
- you authorise Kaer to access, process, send, and receive data through that service as needed for your instructions;
- the third party’s own terms, privacy policy, rate limits, and security practices apply;
- you are responsible for having authority to connect the account or service;
- Kaer is not responsible for third-party services, content, outages, policy changes, or data practices; and
- you are responsible for costs or obligations those services impose on you unless Kaer expressly agrees otherwise.
You can disconnect connectors through product controls or by contacting [email protected].
Voice processing
If you use voice mode, you authorise Kaer to process microphone audio and transcripts to provide the requested feature. Depending on the feature, speech may be recognised by your browser’s own speech service, which may process audio on your device or send it to your browser’s maker; otherwise audio is processed by Kaer-operated speech-to-text systems or the processors listed in the Privacy Policy. Kaer does not store raw voice audio in the current voice flow. Transcripts are used to perform the requested interaction and may be retained only if they become part of a saved conversation or Customer Data record.
Service improvement & training
From 22 October 2026, “Help improve our services” (previously “Help improve Kaer”) is on by default for everyone who has not made a choice; if you had already switched it off, it stays off. While it is on, Kaer uses records of how you use each area of the Service, together with your prompts, messages and the coding actions Kaer takes for you, to fix problems, improve its services and train Kaer’s own in-house models. These records stay linked to your account; passwords, API keys, access tokens, payment-card numbers and email addresses are removed before they are stored. Private (incognito) chats are never collected. You can turn it off at any time in Settings → AI or Settings → Tracking & Analytics, or by emailing [email protected]; collection then stops at once and the content samples already kept are deleted. Kaer does not sell personal data and never uses Customer Data to train third-party foundation models. See the Privacy Policy for detail.
Plans, billing, credits & taxes
Some features are free, trial, beta, usage-based, subscription-based, or available only on paid plans. Paid plans may bill monthly, annually, or under a signed order. Metered usage, compute, models, credits, storage, agent runs, and other usage-based services are deducted from prepaid credits unless a signed enterprise order explicitly says otherwise.
Credits. Credits are the unit of account for metered usage. One credit equals US$0.01. Core includes US$20 of credits each month on the US$15 plan. Other paid plans grant a monthly credit budget equal to the plan price. Annual plans receive 25% more credit than twelve monthly cycles. Rates for models, compute, media, search and other metered services are published in-product. Credits are not money, carry no cash value, are non-transferable, and are not redeemable for cash.
Monthly limits. Metered work is paced against your monthly credit budget. Reaching the monthly budget pauses it until the next billing period unless you hold purchased or bonus credits, which are used next. There is no weekly or rolling 5-hour usage limit. Credits that expire soonest are used first, so plan credits are always used before purchased credits. Unused plan credits do not roll over between billing periods unless a signed order says otherwise. Purchased credits (top-ups and automatic top-ups) stay on your balance until they are used, and so do promotional, bonus and referral credits unless an expiry is stated when they are granted.
Prepaid usage. Metered work stops when your available credit balance is exhausted. Adding a payment method does not authorise Kaer to bill individual usage to that method. You may purchase additional credits manually or use automatic top-up as described below.
When your balance runs out. If your credit balance is exhausted or a subscription payment fails, Kaer will email you. If your account still has no credits, or the payment is still failing, seven days later Kaer may pause the workflows, AI Assistants, automations and other scheduled work you have switched on, and will email you again. Nothing is deleted. Paused work resumes automatically once your balance is topped up, your next plan period starts, or the payment succeeds.
Automatic top-up. Automatic top-up is off by default. If you turn it on, you authorise Kaer and Stripe to charge your saved payment method for the amount you configure whenever your balance falls below the threshold you set, up to the monthly cap you set. Automatic charges never exceed that cap in a calendar month. You may disable automatic top-up at any time, effective for charges not yet initiated.
You authorise Kaer and Stripe to charge your payment method for plan fees, credit purchases, automatic top-ups you configure, and renewals. Prices are in US dollars, and the price shown is what you pay: no VAT or other fees are added at checkout. If you buy for a business, you remain responsible for any tax that your own country requires you to account for yourself. Kaer may change pricing, plans, credits, limits, or features with notice where required.
Refunds & cancellation
You may cancel a paid plan at any time. Unless a signed order says otherwise, Kaer will provide a prorated refund for the unused remainder of a prepaid term after cancellation. Consumed credits and third-party pass-through charges already incurred are not refundable unless required by law. If fees are overdue, Kaer may suspend or limit access after reasonable notice.
Credits, including plan credits, promotional credits, top-ups and automatic top-ups, are consumed as metered work is performed and are not refundable once consumed. Top-ups and automatic top-ups buy prepaid credits that are added to your balance straight away; by confirming the purchase you ask Kaer to supply them immediately, and they are non-refundable once added, including when you cancel a plan, except where the law requires a refund (including under “Your right to cancel” below), where Kaer fails to provide the Service, or where Kaer closes your account for a reason other than your breach of these Terms, in which case Kaer refunds unused purchased credits. Promotional, bonus and referral credits carry no cash value and are not refundable.
Your right to cancel. If you are a consumer — buying for yourself rather than for a business — you may also cancel a paid plan or a credit purchase within 14 days of the day you subscribe or buy, without giving a reason: cancel the plan in Settings → Billing, or email [email protected]. At checkout you ask Kaer to start the service, or to add the credits, straight away, and acknowledge that if you cancel within those 14 days you pay for what you used. Kaer then refunds what you paid, less the time already used on the plan and the credits already used, within 14 days of hearing from you. This is in addition to your right to cancel a paid plan at any time.
Beta & experimental features
Kaer may offer beta, preview, trial, research, or experimental features. These may be incomplete, unstable, rate-limited, changed, or discontinued at any time, and may carry additional terms or data-handling disclosures. You should not use them for production, regulated, or high-impact use cases unless Kaer expressly agrees in writing.
Service levels & availability
Kaer targets 99.9% monthly availability for generally available paid Service components, measured excluding planned and emergency maintenance, beta features, customer-side or third-party failures, force-majeure events, misuse, and issues outside Kaer’s reasonable control. Live status is published at status.kaer.ai. Enterprise or signed-order service-level terms, if any, supersede this section for the covered customer and service.
Confidentiality
“Confidential Information” means non-public information disclosed by one party that is marked confidential or should reasonably be understood as confidential. Customer Data is your Confidential Information; non-public product, security, technical, financial, and business information about Kaer is Kaer’s. Each party will use the other’s Confidential Information only to perform or receive the Service, protect it with reasonable care, and disclose it only to people bound by confidentiality obligations. These obligations do not apply to information that is public through no fault of the recipient, already known without restriction, independently developed, or lawfully received from a third party. A party may disclose Confidential Information if required by law, with notice where legally permitted.
Kaer IP & restrictions
Kaer and its licensors own the Service, software, models, workflows, interfaces, designs, documentation, infrastructure, trade names, trademarks, and underlying technology. Except for the rights expressly granted in these Terms, Kaer reserves all rights. You may not copy, modify, reverse engineer, decompile, extract models from, benchmark for competitive purposes, bypass technical controls, or create derivative services from the Service except where law prohibits the restriction or Kaer gives written permission.
Warranty disclaimer
The Service is provided “as is” and “as available.” To the fullest extent permitted by law, Kaer disclaims all warranties — express, implied, statutory, or otherwise — including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and uninterrupted or error-free operation. Kaer does not warrant that Output will be accurate, lawful, safe, unique, protectable, or suitable for your use case.
Limitation of liability
To the fullest extent permitted by law, Kaer’s total liability arising out of or relating to the Service or these Terms will not exceed the fees you paid Kaer for the Service in the 12 months before the event giving rise to liability.
To the fullest extent permitted by law, Kaer will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, goodwill, data, business, revenue, savings, or opportunities, even if advised of the possibility. These limits do not apply where liability cannot be limited by law, including for fraud, gross negligence, or wilful misconduct.
Indemnification
You will defend, indemnify, and hold harmless Kaer, its affiliates, and their officers, directors, employees, contractors, and agents from claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising from:
- your Customer Data;
- your use of the Service, Output, connectors, paired devices, or third-party services;
- your violation of these Terms or applicable law;
- your infringement or misappropriation of third-party rights;
- your unauthorised processing of personal data, mail, files, credentials, browser traffic, or confidential information; or
- agent actions taken under your account, instructions, approvals, or connected services.
Term, termination & survival
These Terms begin when you first use the Service and continue until terminated. You may stop using the Service or delete your account at any time. Kaer may suspend or terminate access if you violate these Terms, create security or legal risk, fail to pay fees, misuse the Service, or if continuing to provide the Service would be unlawful or impractical. Using the Service to build or operate a product or service that competes with Kaer (see Acceptable use) is a material breach, and Kaer may terminate the account immediately. After termination, Kaer handles Customer Data as described in the Privacy Policy, the Data Processing Addendum where it applies, and your order. Sections that by their nature should survive will survive — including confidentiality, payment obligations, IP, disclaimers, limitations of liability, indemnification, dispute terms, and data-processing obligations.
Data Processing Addendum
If you use the Service for business and personal data is processed through it on your behalf, Kaer’s Data Processing Addendum (“DPA”) forms part of these Terms. It applies automatically, on every plan, with nothing to sign or request. The DPA covers Kaer’s role as your processor, sub-processors, security measures, breach notice, international transfers, audits, deletion, and assistance with data-subject requests. If the DPA and these Terms conflict on the protection of personal data, the DPA prevails. Questions go to [email protected] or [email protected].
Governing law & forum
These Terms are governed by the laws of England and Wales, without regard to conflict-of-laws rules. If you are an EU or UK consumer, this choice of law and forum does not limit mandatory consumer-protection or privacy rights, or your right to bring claims in your local courts where applicable law gives you those rights. The parties will first try to resolve disputes informally via [email protected]; failing that, disputes will be resolved in the courts of England and Wales, unless mandatory law requires a different forum.
Changes to these Terms
Kaer may update these Terms at any time as the Service, law, or business changes. For material changes, Kaer will notify you by email at least 14 days before the updated Terms take effect, unless a shorter period is required for legal, security, or operational reasons. The current version number and effective date are shown at the top of this page. Your continued use of the Service after the effective date of an update constitutes acceptance of the updated Terms; if you do not agree, stop using the Service and delete your account before the changes take effect.
